The phrase covers two quite different jobs here, and knowing which one you're being quoted matters.
On a shingle roof, replacement usually means a full tear off down to the deck, checking the decking for soft spots or past water damage, then new underlayment and new shingles. Overlaying new shingles on top of old is occasionally permissible but rarely a good idea in this climate, because it traps heat against the deck and makes the new layer age faster than it should.
On a tile roof, replacement usually doesn't mean new tile at all. The tile is a rain and sun shield with a service life often beyond fifty years. The underlayment beneath it is the waterproofing, and that typically has around twenty to twenty five years in Arizona conditions. So the standard job is to lift the tile, stack it, replace the underlayment, and re lay the same tile. You keep the appearance your street and your HOA already recognise, and you're only paying to replace the layer that actually failed.
If someone quotes you a full new tile roof without first establishing that your existing tile is broken or unsound, ask them to explain why.

Flashings and penetrations get addressed as part of the work rather than left as they were, because those are where most roofs leak first.
